The San Diego-based firm, known for its Hivemind autonomous pilot system, will allocate a portion of the capital to acquire Aechelon Technology, a developer of simulation software used by the Pentagon’s Joint Simulation Environment. The financing is structured in two parts. A $1.5 billion Series G round was led by Advent International and co-led by JPMorgan Chase’s Security and Resiliency Initiative. Separately, funds managed by Blackstone provided $500 million in preferred equity and committed an additional $250 million through a delayed-draw facility. Following the investment, Advent’s chairman, David Mussafer, will join Shield AI’s board, with JPMorgan’s Todd Combs serving as a board observer.

Shield AI was valued at $5.3 billion in March 2025 when it closed a $240 million F-1 round with strategic investors L3Harris and Hanwha Asset Management. The company’s core technology addresses a critical military challenge. Founded in 2015 by brothers Brandon and Ryan Tseng along with Andrew Reiter, Shield AI was born from Brandon Tseng’s experience as a Navy SEAL. The goal was to solve the problem of operating in DDIL environments, where GPS is jammed and communications are severed. Their solution, Hivemind, is an AI pilot that enables autonomous flight using onboard sensors and reasoning, eliminating dependence on external signals.

An early version of Hivemind powered the Nova quadcopter, which in 2018 became the first autonomous robot of its kind deployed in combat with U. S. special operations forces. The system has since been scaled. Shield AI’s V-BAT reconnaissance drone, operating with Hivemind in Ukraine since June 2024, has completed over 130 sorties in intense electronic warfare conditions. It successfully located a Russian SA-11 Buk-M1 air defense system without using GPS. Hivemind has also been tested on modified F-16s in DARPA dogfighting trials and has autonomously flown Anduril’s Fury drone, a candidate for the U. S. Air Force’s next-generation uncrewed combat aircraft.

A major step in Shield AI’s evolution came with the October 2025 unveiling of the X-BAT, a VTOL stealth fighter drone that requires no runway and is entirely piloted by Hivemind. The company plans its first vertical takeoff flight this year, targeting operational deployment by 2028. The planned acquisition of Aechelon Technology is integral to this expansion. Aechelon’s high-fidelity simulation platforms are used to train pilots and test autonomous systems for the U. Venture capital deals in the sector hit $49.1 billion in 2025, nearly double the previous year’s total, according to PitchBook. Capital is concentrating on firms building autonomous and AI-powered systems. Shield AI’s primary competitor, Anduril, raised $2.5 billion at a $30.5 billion valuation in June 2025 and is reportedly seeking a $4 billion round at a $60 billion valuation this year. European AI defense firm Helsing has also attracted multibillion-dollar valuations.

Several powerful trends are fueling this investment surge. The war in Ukraine has proven the decisive impact of autonomous systems and electronic warfare. Rising Pacific tensions are accelerating demand for long-range autonomous platforms. A bipartisan consensus in Washington supports partnering with agile tech startups, not just traditional contractors, for defense modernization. Initiatives like NATO’s DIANA, which connects startups with over 200 accelerator sites, institutionalize this shift.
